AUCTION AND OFFER SALES TERMS OF USE
1. SCOPE AND DEFINITIONS
1.1. These Auction and Offer Sales Terms of Use regulate the usage principles of the auction and offer sales module available on the website www.deristok.com operated by Anaeli Health and Education Services Trade Ltd. Co.
1.2. Corporate members and seller account holders using the auction module on www.deristok.com, initiating auctions, entering starting prices and quantities, as well as buyers participating in these auctions, are deemed to have read, understood, and accepted these terms.
1.3. These terms apply together with the Distance Sales Agreement, Terms of Use, Privacy Policy, Personal Data Protection and Disclosure Text, Return and Exchange Policy, and Delivery Terms.
2. NATURE AND PRODUCT TYPE OF THE AUCTION MODULE
2.1. Products covered by the Deristok auction module are exclusively new and first-hand genuine leather and leather products. These products include genuine leather and leather shoes, bags, wallets, belts, jackets, coats, and similar genuine leather and leather items.
2.2. The auction module is an offer sales system where corporate members or seller account holders can list specific genuine leather and leather products at a starting sales price and quantity of their choice, and buyers can view these products and close the auction instantly by clicking the "buy now" button within the auction period.
2.3. Unlike traditional auctions where prices are incrementally increased, the system is based on starting price and defined quantity. Within the auction period, any interested buyer can purchase the product at the advertised price and quantity, thereby closing the auction.
3. AUCTION INITIATORS: CORPORATE MEMBERS AND SELLER ACCOUNTS
3.1. The authority to initiate an auction belongs to users defined as corporate members or seller accounts on www.deristok.com. These users are natural or legal persons listing products on behalf of a company or within the scope of commercial activities.
3.2. Before opening an auction, corporate members or seller account holders must complete the necessary verification and approval processes in the system. Accounts providing false information or acting on behalf of unauthorized persons may be suspended or closed.
3.3. The auction initiator, whether a corporate member or seller, is obligated to enter the following information completely and accurately:
Product name, model, and basic features
Information that the product is new and first-hand genuine leather and leather product
Starting sales price (unit price)
Quantity offered for sale (pieces, pairs, etc.)
Auction start and end date/duration
Delivery and shipping terms (if any special arrangements apply)
3.4. The starting price and quantity are the commercial terms used as the basis in the system during the auction period. The corporate member or seller declares that they have opened the auction in accordance with this information and have the authority to dispose of available inventory.
4. BUYERS PARTICIPATING IN AUCTIONS
4.1. Buyers wishing to purchase products using the auction module must become members of www.deristok.com, log into their membership account, and provide their identity and contact information correctly.
4.2. Buyers must be of legal age and have legal capacity. Users acting on behalf of legal entity buyers must have authority to represent the company.
4.3. When buyers examine the product features, price, quantity, and duration terms displayed on the auction page and click the "buy now" button, they are deemed to have declared their acceptance to purchase at the stated price and quantity.
5. AUCTION DURATION, STARTING PRICE, AND QUANTITY
5.1. For each auction, the starting sales price (unit price), total quantity offered for sale, auction start date, and auction end date are clearly displayed in the system.
5.2. The starting sales price and quantity are determined by the corporate member or seller initiating the auction. However, these values must comply with market realities and principles of good faith. When clearly misleading or system error-based price and quantity entries are detected, Deristok may cancel these auctions.
5.3. The auction duration is the time period specified on the product page. When the period expires, an auction that has not yet been finalized through a "buy now" transaction may automatically end.
6. "BUY NOW" TRANSACTION AND AUCTION CLOSURE
6.1. When a buyer clicks the "buy now" button on the product page while the auction period is ongoing, they accept to purchase the product at the stated starting price and quantity and are directed to the payment screen.
6.2. Payment is processed through credit card, debit card, or other payment methods offered on the site. When payment approval is granted by the bank or payment institution, an order is created and the relevant auction moves to closed status in the system regarding the sold quantity.
6.3. If the entire determined quantity of the product has been sold, the auction closes completely. In cases where partial sales are permitted, the auction may continue to be published in the system for the remaining quantity during the auction period; such situations are noted separately.
6.4. In "buy now" transactions where payment approval cannot be obtained, the card is declined, or the transaction cannot be completed for technical reasons, no order is created and the auction remains open. In this case, the product may be purchased by another buyer within the same period.
7. PAYMENT, ORDER, AND CONTRACT RELATIONSHIP
7.1. The buyer completes the order by approving the Distance Sales Agreement, Pre-Information Form, Terms of Use, and Privacy Policy on the payment screen. When payment approval is received, the distance sales agreement is established.
7.2. For products sold through corporate member or seller accounts, Deristok may assume the role of platform provider and intermediary service provider. In this case, the sales relationship between the buyer and the corporate member/seller is conducted within the framework of Deristok's general rules, relevant agreements, and applicable legislation.
7.3. Invoices and other legal documents are issued by Deristok or the relevant corporate member/seller according to the business model. This is determined according to the relevant agreement and system settings.
8. DELIVERY, RETURNS, AND RIGHT OF WITHDRAWAL
8.1. Delivery of purchased products is carried out in accordance with the Delivery Terms and Distance Sales Agreement provisions. The delivery period runs from the payment approval date.
8.2. The fact that products are new and first-hand genuine leather and leather products means that minor color, texture, and pore differences resulting from natural genuine leather and leather material are not considered defects. These characteristics arising from the structure of genuine leather and leather products may not be accepted as grounds for return.
8.3. Buyers with consumer status may exercise their right of withdrawal within 14 days from the delivery date. The withdrawal and return process is subject to the Distance Sales Contracts Regulation, Deristok's Return and Exchange Policy, and the Distance Sales Agreement.
8.4. Products returned under the withdrawal provision must be unused, tested only within trial limits, suitable for resale, and sent with their original packaging, box, label, and accessories. Following inspection, if unauthorized use or value loss is detected in violation of regulations, deductions may be made from the return amount.
9. INCORRECT ENTRIES, SYSTEM FAILURES, AND CANCELLATION
9.1. In auctions created with unrealistic prices and quantities due to system errors, typos, obvious pricing mistakes, or technical malfunctions, Deristok and/or the relevant corporate member/seller has the right to cancel the auction and any orders resulting from it.
9.2. In cases of force majeure such as natural disasters, epidemics, war, mobilization, severe logistical obstacles, or supply impossibility, orders may be cancelled and payments refunded. In this case, the buyer cannot claim additional compensation.
9.3. If multiple buyers perform "buy now" transactions simultaneously due to system conflicts and only one can be fulfilled, the valid order is determined based on system logs and records, other orders are cancelled, and payments are refunded.
10. RESPONSIBILITY OF USERS AND SELLERS
10.1. Corporate members and seller account holders accept and warrant that the products they offer for sale through auctions are new and first-hand genuine leather and leather products, that their inventory actually exists, and that they have entered product information correctly and completely.
10.2. Buyers accept that they have read and understood the auction terms before performing the "buy now" transaction, that they will fulfill their payment obligations, and that they are responsible for the accuracy of their address and contact information.
10.3. When fraudulent or unauthorized card use, misleading price/quantity entries, system manipulation, or use intended to gain unfair advantage is detected, the accounts of the relevant users may be closed and necessary legal proceedings may be initiated.
11. COMPLAINTS, DISPUTES, AND JURISDICTION

11.2. For buyers with consumer status, Consumer Arbitration Boards and Consumer Courts are competent within the relevant monetary limits. In mandatory cases, mediation may need to be pursued first.
11.3. For disputes between commercial buyers without consumer status and corporate members/sellers, the provisions of the Turkish Commercial Code, Turkish Obligations Code, and other applicable legislation apply. Competent judicial authorities may be determined separately in agreements concluded between the parties.
12. EFFECTIVE DATE AND AMENDMENTS
12.1. These Auction and Offer Sales Terms of Use become effective on the date they are published on www.deristok.com.
12.2. Anaeli Health and Education Services Trade Ltd. Co. may update this text in accordance with legislation and operational requirements. The current text is always kept accessible on www.deristok.com.
12.3. Continued use of the auction module by corporate members, seller account holders, and buyers means they accept the updated terms.
